Trump Media–TAE Merger Moves Forward

Trump Media & Technology Group (TMTG) and TAE Technologies have moved their proposed merger forward by filing a Form S-4 registration statement with the U.S. Securities and Exchange Commission.

The filing advances the all-stock combination originally agreed on December 18, 2025. If completed, shareholders of TMTG and stockholders of TAE are expected to each own approximately 50% of the combined company on a fully diluted basis.

The transaction could create one of the world's first publicly traded companies focused on developing and commercializing fusion energy, while giving TAE additional financial resources to accelerate its technology roadmap.

TAE has spent nearly three decades developing technologies originating from its fusion research. Its commercial strategy now extends across three areas: Fusion, Power Solutions and Life Sciences.

Fusion remains the company's central ambition—developing reliable, abundant and clean energy that could eventually become a cost-competitive component of the global electricity supply.

An increasingly important opportunity is artificial intelligence. The rapid expansion of AI data centres is creating unprecedented electricity requirements and highly dynamic computing loads, making energy availability and sophisticated power management strategic infrastructure issues.

TAE Power Solutions is targeting this challenge through PowerFabric, which applies fusion-derived, microsecond-scale power-control technology to managing demanding AI computing workloads.

TAE is also applying technologies developed through fusion research to healthcare. Its Life Sciences business is developing boron neutron capture therapy, or BNCT, targeting difficult-to-treat cancers using particle-accelerator technology.

TMTG says the transaction supports its strategy of diversifying beyond its existing social media, streaming and financial-services operations into strategically important technology sectors with long-term growth potential.

The S-4 filing represents an important procedural milestone rather than completion of the transaction. The registration statement must still become effective, and the merger remains subject to applicable approvals and closing conditions. If completed, the combination would connect an unusual set of markets—media, AI infrastructure, advanced power electronics, healthcare technology and the long-term pursuit of commercial fusion energy.
